CLERIVY — Terms of Service

1. Overview

This website, clerivy.com, including our checkout and customer-account pages (together, the "Site"), is operated by GUHADA Co., Ltd. ("Clerivy," "we," "us," or "our"), a company incorporated in the Republic of Korea. Clerivy is the brand under which we sell skincare products.

These Terms of Service ("Terms") apply when you use the Site, subscribe to our emails, create an account, or buy products from us. Before you check out, we ask you to confirm that you agree to these Terms and our Refund & Return Policy. These Terms, our Shipping Policy, and our Refund & Return Policy are also linked at checkout, and by completing your order you agree to them and acknowledge our Privacy Policy. If you do not agree, please do not use the Site or place an order.

These Terms incorporate our Shipping Policy and Refund & Return Policy. Our Privacy Policy explains how we handle personal information. We may update these Terms by posting the revised version on this page and updating the "Last updated" date. Changes apply from the date they are posted or, for a change that materially reduces your rights, from the later effective date stated in our notice. They do not apply to orders placed before that date or to disputes that arose before that date; each order is governed by the Terms in effect when it was placed. If a change materially reduces your rights, we will post a notice on the Site, and email account holders and subscribers, at least 7 days before it takes effect. If you do not agree to a change, please stop using the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to purchase from the Site. By placing an order you confirm that you meet this requirement and that the information you provide is accurate and complete.

3. Products, pricing, and availability

• All prices on the Site are shown and charged in U.S. dollars (USD). Shipping fees and any applicable sales tax are shown at checkout before you place your order.
• We ship only to addresses in the contiguous United States (the 48 contiguous states and Washington, D.C.). See our Shipping Policy.
• Product images are for illustration. Packaging and appearance may vary slightly from what is shown.
• We may change prices, discontinue products, or limit quantities at any time. Price changes do not affect orders you have already placed. We may refuse or cancel an order that we reasonably believe is placed by a reseller or in violation of these Terms.
• If a product is listed at an incorrect price or with incorrect information due to an error, we may cancel the affected order before it ships and refund any amount paid in full.
• Discount codes and promotions are subject to the conditions stated with the offer, have no cash value, and cannot be combined unless the offer says so.

Clerivy products are also sold on Amazon.com. Orders placed on Amazon are governed by Amazon's terms and policies, not by these Terms.

4. Orders and order acceptance

When you place an order, you make an offer to buy the products in your cart. We will promptly email you an order acknowledgment confirming that we have received your order; this acknowledgment is not our acceptance of it. Your order is accepted when we send a shipping confirmation. We may decline or cancel an order before shipment for reasons including product unavailability, pricing or description errors, suspected fraud, or problems with payment authorization. If we cancel an order after payment, we will refund the full amount, including any shipping fee, to your original payment method.

If we cannot ship your order within the processing time stated in Section 3 of our Shipping Policy, we will email you with a revised shipping date and the option to cancel the order for a full refund, as described there. When an order is cancelled before it ships, we issue the refund within 7 business days.

Order cancellations by you are possible only before the order has shipped. See Section 8 of our Refund & Return Policy.

5. Payment

Checkout on the Site is hosted by Shopify. Card payments are processed by Eximbay Co., Ltd. ("EXIMBAY"), a payment processor located in the Republic of Korea, and PayPal payments are processed by PayPal. You enter your card details in a secure payment form provided by our card processor or Shopify, where your card issuer may ask you to verify the payment; Clerivy never receives or stores your full card number. The seller for every order on the Site is GUHADA Co., Ltd., located in the Republic of Korea.

You are charged in U.S. dollars. Because we and our card processor are located outside the United States, your card issuer may treat your purchase as an international transaction and charge a foreign transaction fee, even though the charge is in U.S. dollars. Any such fee is set and charged by your card issuer, not by us, and we cannot refund it. Card charges appear on your statement under the name of our card processor, "EXIMBAY," rather than "Clerivy." If you do not recognize a charge from EXIMBAY, please contact us at info@clerivy.com.

By providing a payment method you confirm that you are authorized to use it. We may verify your payment information before accepting an order.

6. Shipping and delivery

We ship only to addresses in the contiguous United States. Orders are usually packed and handed to the carrier within 1–3 business days, and standard delivery usually takes 3–8 business days after shipment. Shipping is $6.99 per order, or free when your order subtotal after discounts is $60 or more; if you return items from a free-shipping order for a change of mind, $6.99 is deducted from your refund. Our Shipping Policy sets out the full details, including how we handle delays and lost or damaged shipments. Title and risk of loss pass to you when the carrier delivers the package to the address you provided.

7. Returns and refunds

You may request a change-of-mind return within 14 days of delivery for products that are unopened and unused, with any factory seal intact. The return label fee is deducted from the refund, the shipping fee you paid is not refunded, and for a free-shipping order the $6.99 standard shipping fee that was waived is deducted. We do not offer exchanges. Damaged, defective, or incorrect items are covered by our Limited Warranty, without deductions. Our Refund & Return Policy sets out the full details.

8. Accounts

You may create an account to view your orders and save your details. Accounts are hosted by Shopify. You sign in with a one-time code sent to your email address, or with another sign-in method offered on the sign-in page; no password is created. You are responsible for keeping access to your account and the email address you use to sign in secure, and for all activity under your account. Tell us promptly at info@clerivy.com if you believe your account has been used without authorization. We may suspend or close accounts that violate these Terms.

9. Product information and safety

Use our products only as directed on the product label and packaging. Information on the Site, including product descriptions, usage tips, and ingredient details, is provided for general information and is not medical advice. It does not replace the directions and warnings on the product label or the advice of a healthcare professional. Consult a healthcare professional if you have a skin condition, are pregnant or nursing, or have concerns about an ingredient. If irritation or another reaction occurs, stop use, consult a professional, and let us know at info@clerivy.com with your order number and the product involved. We will send you our reaction report form, which asks for your consent before you share details about your health, symptoms, or photos, and we handle these reports under our Consumer Health Data Privacy Policy.

10. Intellectual property, reviews, and acceptable use

The Site and its content, including the Clerivy name and logo, text, images, graphics, and design, are owned by or licensed to GUHADA Co., Ltd. and are protected by intellectual property laws. You may use the Site for personal, non-commercial shopping only. You may not copy, reproduce, scrape, distribute, or create derivative works from Site content without our written permission.

You agree not to use the Site for any unlawful purpose; to interfere with its security or operation; to submit false or misleading information; to place orders for resale without our authorization; or to infringe the rights of others.

Reviews, comments, and other content you submit to the Site ("User Content") must reflect your own honest experience, must be lawful, and must not be clearly false or misleading. You keep ownership of your User Content. By submitting it you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display it, together with the display name you choose, in connection with the Site and our marketing. If your User Content describes your health, skin condition, or a reaction to a product, we will not use it in our advertising or marketing unless you give us separate consent. We do not remove, hide, or rank reviews based on their rating or on whether they are positive or negative. We may decline to post, or may remove, User Content that contains another person's personal information or likeness, anyone's contact or payment details, trade secrets, or privileged or confidential commercial or financial information; is defamatory, harassing, abusive, obscene, vulgar, or sexually explicit; is discriminatory with respect to race, gender, sexuality, ethnicity, or another intrinsic characteristic; is clearly false or misleading; we reasonably believe is fake; or is wholly unrelated to our products or services. Reviews about our shipping, delivery, returns, refunds, or customer service are related to our products and services. We apply these standards in the same way to all reviews, regardless of rating or sentiment.

11. Disclaimer of warranties for the Site

THIS SECTION APPLIES ONLY TO THE SITE AS AN ONLINE SERVICE, NOT TO OUR PRODUCTS. THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES REGARDING THE OPERATION AND AVAILABILITY OF THE SITE, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

For products, you have the rights stated on the product label and in our Refund & Return Policy, in addition to any warranties and other rights that applicable law gives you. Nothing in these Terms excludes or limits any warranty or consumer right that cannot be excluded or limited under the laws that apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GUHADA CO., LTD., ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE OR THE PRODUCTS. TO THE SAME EXTENT, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

Nothing in these Terms limits or excludes (a) liability for death or personal injury; (b) liability under product liability laws, including for damage to property caused by a defective product; (c) liability for fraud, gross negligence, or willful misconduct; (d) your remedies under the Limited Warranty in Section 5 of our Refund & Return Policy or under any implied warranty for a product; or (e) any other liability that cannot be limited or excluded under the laws that apply to you.

13. Indemnification

To the extent permitted by law, you agree to indemnify GUHADA Co., Ltd. and its officers and employees against any third-party claim, and any resulting loss or expense (including reasonable attorneys' fees), to the extent the claim is caused by your breach of these Terms or your violation of law in connection with your use of the Site. This Section does not apply to claims caused by our own negligence or misconduct, or to an honest review or other honest communication about our products.

14. Governing law and disputes

Consumers. This paragraph applies if you are an individual who uses the Site or buys from us for personal, family, or household purposes.

• (a) If you reside in the United States, these Terms, your use of the Site, and your purchases from us are governed by applicable U.S. federal law and the laws of the U.S. state, or the District of Columbia, where you resided when you placed your order (or, for a claim not related to an order, where you reside when the claim arises).
• (b) If you do not reside in the United States, your purchases from us are governed by applicable U.S. federal law and the laws of the U.S. state, or the District of Columbia, to which your order was shipped; your other use of the Site is governed by the laws of the Republic of Korea.
• (c) The choice of law in (a) and (b) does not deprive you of the protection of the mandatory consumer-protection laws of the place where you habitually reside.
• (d) You may bring a claim against us in the courts where you reside (in the United States, including state and federal courts and small-claims court), in the state or federal courts of the place in the United States to which your order was shipped, or in the courts of the Republic of Korea. If we bring a claim against you, we will bring it only in the courts of the place where you reside.

Business purchases. If you buy for resale or other business purposes, these Terms and any dispute arising out of them, the Site, or our products are governed by the laws of the Republic of Korea, without regard to its conflict-of-law rules, and the Seoul Central District Court in the Republic of Korea has exclusive jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or to any purchase from us.

Before starting a formal proceeding, please contact us at info@clerivy.com so that we can try to resolve the issue informally. Most issues can be resolved this way.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies referenced above and the product information shown on the Site when you place your order, are the entire agreement between you and us regarding the Site and your purchases. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

You agree that we may provide order confirmations, notices, and other communications about your orders and account to you electronically, by email or on the Site. To the extent the law allows, these electronic communications satisfy any requirement that a communication be in writing.

We are not responsible for delays or failures to perform caused by events beyond our reasonable control, such as natural disasters, carrier or network disruptions, or government action. This does not affect your right to cancel and receive a refund under Section 4.

In these Terms and our policies, "days" means calendar days, and "business days" means Monday through Friday, excluding U.S. federal holidays.

16. Notice to California residents

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice. The Site is provided by GUHADA Co., Ltd., 507, 45 Imae-ro, Bundang-gu, Seongnam-si, Gyeonggi-do, Republic of Korea 13567, telephone +82-2-2038-8823.
